SINGAPORE: Singapore's Amtek Engineering will buy US-based Interplex Industries Inc in a deal that could be worth as much as US$210 million (S$266 million).
The acquisition will result in the creation of one of the world's largest precision engineering companies with global sales of about S$1.3 billion across 15 countries, Amtek said in a statement on Tuesday.
The deal is expected to be completed in about six to eight months from now.
Singapore's precision engineering industry generated around S$33 billion in revenue last year and is a key area within the manufacturing sector.
Amtek currently has operations in several countries including Singapore, Malaysia, Indonesia and China.
By buying Interplex, the Singapore company gains a firm that specialises in the design and manufacture of miniature precision engineered solutions for highly demanding customised interconnect and electronic packaging applications.
Interplex -- which had revenues of US$182.4 million for the six months ended November 30, 2013 -- also gives Amtek a foothold in the United States, Mexico and India.
Amtek is looking to expand its global footprint through this tie-up with Interplex.
Daniel Yeong, executive chairman and CEO of Amtek, said: "We're interested in the US market, interested in the European market, interested in South American market where they have a presence, and of course they also have presence in India. These are some of the new markets if you go green field, it'll take a lot of effort, investment and risk.
"Parts that we build have a lot of weight, customers prefer us to be nearer to where they use the parts. Amtek is not truly global, so with the acquisition of Interplex, we're truly global."
The deal will also allow Amtek to broaden its reach through Interplex's large existing customer base of blue chip companies.
Interplex's customer base largely comprises top automotive, industrial, electrical, mobile devices and recently, medical Original Equipment Manufacturers (OEMs) throughout the world.
And both firms can combine their expertise in different product groups.
Mr Yeong added: "They are in miniaturised, we're in big, large-sized products. Their customers wants them to move up to bigger size. Our customers who have been giving us the big-sized orders, there are so many products that are miniaturized.
"For us to go learn how to build a miniature product is, again, investment and risk. For them to also learn how to build a large product where they're always been in miniaturizing. The combined company will offer a lot of synergies."
Amtek said the Interplex purchase involved payment of US$165 million as enterprise value, plus US$11 million deferred payment and up to US$34 million of earnout payments.
